Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the website and AI phone-receptionist services (the "Service") offered by Ascension Voice AI, a division of Ascension Strategies LLC ("Ascension," "we," "us," or "our"). By accessing the Service or signing an order with us, you agree to these Terms.
1. Eligibility & acceptance
You must be at least 18 years old and authorized to enter into a contract on behalf of the business you represent. If you do not agree to these Terms, do not use the Service.
2. Definitions
- "Client" — a business that engages Ascension to provide the Service.
- "Agent" — the AI voice receptionist configured for a Client.
- "Order" — the founding-partner enrollment, proposal, or written agreement describing the specific services and fees applicable to a Client.
- "Client Data" — information processed by the Agent on the Client's behalf, including caller information, recordings, transcripts, and booking data.
3. The Service
The Service provides a custom AI voice receptionist that answers calls, screens and routes callers, books appointments, transfers calls during business hours, logs interactions, and provides related analytics. Specific features, configuration, and scope are described in your Order. We may improve, modify, or discontinue features over time.
4. Orders, fees & billing
Fees, billing frequency, and any founding-partner terms are set out in your Order. Unless your Order states otherwise: fees are billed in advance on a recurring basis; subscriptions renew automatically until cancelled; and fees are non-refundable except as required by law or expressly stated in your Order.
5. Free trial & go-live
Where a free trial is offered, your trial does not begin until you approve your Agent and it goes live. You control go-live: the Agent does not handle live calls until you authorize it. At the end of the trial, paid service continues under the terms of your Order unless you cancel as described there.
6. Your responsibilities & acceptable use
You agree to use the Service lawfully and to:
- Provide accurate information and maintain the security of your account credentials;
- Obtain and maintain all consents and notices required to handle your callers' information and, where call recording or transcription is enabled, to record calls — including compliance with all-party-consent (two-party-consent) recording laws in applicable jurisdictions;
- Comply with all laws governing telephone communications and marketing, including the Telephone Consumer Protection Act (TCPA) and applicable do-not-call rules;
- Not use the Service for unlawful, deceptive, harassing, or abusive purposes, for emergency or life-safety services, or in any way that violates third-party rights.
7. Client Data & privacy
As between you and Ascension, you own your Client Data. You grant us the rights needed to process Client Data to provide the Service. When we process caller information on your behalf, you are the controller and we are the processor under the data processing agreement we provide at onboarding, which is incorporated into these Terms by reference. Our handling of personal information is described in our Privacy Policy.
8. Intellectual property
Ascension and its licensors own all rights in the Service, including the platform, software, prompts, configurations, and any voice models we provide, excluding your Client Data and any materials you supply. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, resell, reverse-engineer, or create derivative works from the Service except as permitted by law.
9. Third-party services
The Service relies on third-party platforms (for example, voice, telephony, speech, CRM, and hosting providers). We are not responsible for the availability, acts, or omissions of third-party services, and your use of them may be subject to their terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ASCENSION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AGENT WILL CORRECTLY HANDLE EVERY CALL. THE SERVICE IS NOT INTENDED FOR EMERGENCY, MEDICAL, LEGAL, OR OTHER PROFESSIONAL ADVICE, OR FOR LIFE-SAFETY USE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASCENSION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. ASCENSION'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Ascension and its affiliates from claims, damages, and expenses arising out of your Client Data, your use of the Service, or your breach of these Terms or applicable law — including any failure to obtain required consents for call recording or communications.
13. Term & termination
These Terms apply while you use the Service. Either party may terminate as described in your Order. We may suspend or terminate access for non-payment, violation of these Terms, or to comply with law. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 7–12 and 14) will survive. We will make Client Data available for export or delete it in accordance with the Data Processing Agreement.
14. Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by contacting [email protected]. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and both parties consent to venue and personal jurisdiction there.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date; material changes will be communicated as required. Your continued use of the Service after changes take effect constitutes acceptance.
16. Miscellaneous
These Terms, together with your Order and the Data Processing Agreement, are the entire agreement between you and Ascension regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
